1. Introduction- This mobile application (collectively referred to as "Application") is owned and operated by Banting Healthcare Private Limited, a company incorporated under the Companies Act, 2013, having its principal place of business at Unit No 4&4A, 63, Gold Medal Avenue, Swami Vivekananda Rd, beside Croma, near Piramal Nagar, Piramal Nagar, Goregaon West, Mumbai, Maharashtra 400104 , ("Banting Healthcare", or "Banting" or "We" or "Our" or "Us" or "Company").
- The Application is specifically designed for users who are suffering from diabetes and have related comorbidities including but not limited to hypertension, diabetic retinopathy etc., and who have enrolled with Banting Healthcare at its Sugar & Heart Clinic, and who wish to access their electronic medical records, receive health updates, schedule appointments, buy medicines and other healthcare products, and receive related services from Banting Healthcare as per their comfort and convenience through the Application.
- Your access to and use of the Application will always be subject to the following terms and conditions ("Terms"), Privacy Policy Out-Patient Medical Consent, Shipping Policy , Return/ Refund Policy and other applicable policies which are incorporated herein by way of reference and all applicable laws. To that extent, these Terms constitute a legal and binding contract between Banting Healthcare and You (hereinafter referred to as "You" or "Your" or the "User(s)").
2. Acceptance of the Terms
- By clicking on the "I agree" button at the bottom of your screen, You confirm that You accept these Terms, without limitation or qualification, and that You agree to comply with them.
- You are also responsible for ensuring that all persons who access Our Application through Your credentials/account are aware of these Terms and other applicable terms, conditions, and applicable national laws and that they comply with them at all times.
- Further, by accepting these Terms, You also accept and agree to be bound by Our Privacy Policy Out-Patient Medical Consent and such other rules, guidelines, policies, terms and conditions as are relevant under the applicable law(s) in India and other jurisdictions for the purposes of accessing, browsing or transacting on the Application, and such rules, guidelines, policies, terms and conditions shall be deemed to be incorporated into, and considered as part and parcel of these Terms.
- If You do not agree to these Terms, You will not be able to use the Application.
3. Eligibility for Using Application
- In order to use the Application, You will be required to submit your registered mobile number and receive a OTP. If you have not enrolled with Banting Healthcare through the walk-in process when you visited the Sugar & Heart Clinic, then you will not receive OTP.
- You must enroll yourself though walk-in process by vising the Sugar & Heart Clinic and register your mobile number, in order to receive the OTP.
- You must be an adult and person of sound mind before you may use the Application.
- You enrolment with Banting Healthcare may be suspended or terminated due to non-payment of dues, or due to misconduct, for any in which case you will not be eligible to use the Application.
- If You do not conform to the above qualification, You will not be permitted to put a requisition for the products/services through the Application.
4. Registering Your Account
- If You meet the eligibility criteria outlined above, then You may start using the Application after registering on the Application by sharing Your personal information including Your biometric information.
- As part of the registration process and while You use the Application, Banting Healthcare may collect, store, use and update the following personally identifiable information about You: your first and last name, email address, medical history, mobile phone number, current location, demographic details such as age, gender, etc., For more details about the types of data that are collected and processed by Banting Healthcare through the Application, You may refer to our Privacy Policy Notice.
- You hereby authorise Banting Healthcare use your Personal Information to contact You for any transactional purposes.
- You will be responsible for maintaining confidentiality of Your account, and restricting access to the Application, and You hereby accept responsibility for all activities that occur under Your account.
- You agree to immediately inform Banting Healthcare of any unauthorized use of Your account or any breach of security about Your account registered with the Application.
5. Changes to the Terms
- We reserve the right to revise these Terms at any time.
- If We make material changes to the Terms, we will notify You by posting a notice on the Application, and you will be required to accept the revised Terms before You can use the Application again.
6. Changes to the Application
- Our Application may undergo change from time to time. The features, services and products offered on the Application may also undergo change from time to time, without prior notice.
- Some features, services or products in our Application may be inaccessible temporarily or permanently, or change temporarily or permanently, without prior notice.
- We do not warrant that the Application and its features, services and products will not have down-time, or will be accessible or useful at all times, or will meet any specific use-case or requirement, or will stay updated or relevant at all times.
- We remain committed to bringing the best features, services and products to our Users at all times, however, we do not accept any obligation or liability for the same.
7. General Terms of Use of Application
- The Application and its features, services and products are strictly intended to be used within the jurisdiction of India, by residents and citizens of India, for their personal use only.
- You will not use the Application for any purpose not intended under the agreement, including for any commercial purposes under any circumstances.
- You will use the Application, and its features, services and products, strictly in compliance with all applicable Indian laws.
- You will not use the Application in any way that is harms Banting Healthcare, its directors, employees, affiliates, distributors, partners, service providers and/or any other User.
- You will not alter, modify, interfere with, disrupt or hamper the proper functioning of the Application.
- You are prohibited from selling, trading, or otherwise transferring Your Account to another party.
8. Terms and Conditions of Services
- Booking / Scheduling Doctor Appointments: You may schedule a consultation with a registered medical practitioner (referred to as “RMP”) through the Application.
- The time-slots visible for RMP appointment on Application represent a good faith estimate of RMPs availability for consultation.
- Once the appointment is confirmed over the Application, Banting Healthcare agrees to undertake to take best efforts to ensure that RMPs of relevant expertise are available for in-clinic consultation at the time of the appointment.
- The service to book appointment with RMP through Application should not be used during emergency situations. In case of an emergency, please call an ambulance or visit the nearest clinic/ polyclinic/ hospital. We do not bear any responsibility, or liability for any injury, death or disability caused due to any rejection of selected appointment date and time, or any delay caused due to rescheduling.
- All confirmed appointments are subject to availability of RMP at the selected location and time. In an event of non-availability of RMP at the appointed location and time, Banting Healthcare will make best efforts to schedule the appointment with another RMP with relevant expertise as per availability.
- Banting Healthcare does not take responsibility and will not be made liable for any rescheduling, non-availability of RMP or non-scheduling of appointment.
- Any information regarding RMP that is provided to You either through the Application or at the clinic itself, is intended for general reference purposes only. Such information often changes frequently and may become out of date or inaccurate. Therefore, we do not encourage You to schedule appointments only on the basis of the information about RMP that is made available to You by Banting.
- Please note that the Application cannot be used to book appointment with a particular RMP. In the event You have been requested to follow-up with a particular RMP, it is recommended to schedule an appointment directly at the (physical location) clinic to ensure continuity of care.
- Viewing of Electronic Medical and Health Records: You will be able to access Your medical and health records that have been generated in the course of Your consultation, treatment, diagnosis and testing at the clinic, through the Application.
- Banting Healthcare will make best efforts to ensure that the medical and health records, including results of lab tests, prescriptions and any other medical information which relates to You which is generated by Banting Healthcare is uploaded and updated on the Application for You to view and access.
- You will not be able to modify or alter medical or health records displayed on the Application.
- Due to unforeseen reasons, Banting Healthcare may experience technical difficulties which could result in discrepancies or inaccuracies in Your medical and health records.
- Any error in medical and health records should be immediately communicated by You to Banting so that Banting may take steps to rectify the errors.
- Banting Healthcare hereby disclaims any liability for displaying erroneous, inaccurate or incomplete medical and health records on the Application.
- Health Tracking and Counselling: You will be able to track Your DESS (Diet, Exercise, Stress, Sleep) Score on the Application. The DESS Score will be updated pursuant to regular sessions with counsellors associated with Banting Healthcare.
- You understand that the DESS Score is merely a health and lifestyle progress tracker, and is not a substitute for a consultation with a RMP.
- You understand that any health and lifestyle related recommendations made by the Counsellor will be based solely on Your responses to the prompted questions posed to You during Your counselling sessions.
- You understand that the Counsellor is not a medical professional, is not acting in the capacity of a medical professional and does not possess the necessary licenses to act as a medical professional in India.
- The Application and information provided by Counsellors may contain errors or inaccuracies. Banting Healthcare disclaims any liability for any such errors or inaccuracies.
- You understand that though the Counsellor may make recommendations regarding nutrition, lifestyle changes etc. based on the responses provided by You during counselling session, the Counsellor is not a medical professional and You must take care to consult a medical practitioner to understand and evaluate the health consequences to any recommendations made by the Counsellor.
- You may not rely solely on any recommendation made by the Counsellor for purchase of any medicine, or medical equipment, and should always confirm either with RMPs associated with Banting, or any registered medical practitioner of Your choice before obtaining and using any such medicine or medical equipment.
- The advice provided by Counsellors is based on their professional experience and knowledge. Banting Healthcare does not guarantee the effectiveness of any advice provided by Counsellors.
- Banting Healthcare shall not be liable for any damages arising from errors or inaccuracies in DESS Score or Counsellor advice; or due to reliance placed on the information provided by Counsellors or DESS Score; or due to technical difficulties in accessing the DESS Score or the Application.
- The Counsellor are not licensed under Indian law to provide You any input or recommendation regarding Your medical treatment and/ or progress, and in the event any such recommendation is made to You, please ensure to inform Banting Healthcare of the same.
- Diagnostic Test: You may schedule an appointment for diagnostic test or sample collection through the Application.
- The time-slots available for sample collection visible on Application represent a good faith estimate of Technician’s availability for sample collection.
- Once the appointment is confirmed over the Application, Banting Healthcare agrees to undertake to take best efforts to ensure that a technician is allotted for visit and sample collection.
- The diagnostic test and sample collection service should not be used during emergency situations. In case of an emergency, please call an ambulance or visit the nearest diagnostic lab / clinic/ polyclinic/ hospital. We do not bear any responsibility, or liability for any injury, death or disability caused due to any rejection of selected appointment date and time, or any delay caused due to rescheduling.
- All confirmed appointments are subject to availability of technician at the selected location and time. In an event of non-availability of technician at the appointed location and time, Banting Healthcare will make best efforts to schedule the appointment with another Technician as per availability.
- Banting Healthcare does not take responsibility and will not be made liable for any rescheduling, non-availability of Technician or non-scheduling of appointment.
- You understand and accept that the diagnostic test and/or sample collection may be outsourced by Banting Healthcare to a third party at its sole discretion.
- You understand and accept that due to the logistical challenges of transporting samples, Your sample may be damaged during transit, in which case You will need to provide Your sample again. Banting Healthcare does not accept any liability for damaged samples.
- You understand and accept that if it is determined that the sample collected from You is not sufficient or suitable to carry out the diagnostic test, You will need to provide your sample again. Banting Healthcare does not accept any liability for retests.
- E-Commerce: You may purchase prescription and non-prescription medication, medical devices, supplements, optics, orthopaedic footwear etc. through the Application. The purchase of products on the Application are subject to following:
- All information, items and services displayed on the Application, do not constitute an offer to sell. The order placed by You shall constitute an offer to purchase a particular item/s under these Terms at the price specified (including delivery and other charges).
- Banting Healthcare reserves the right to accept or reject Your offer for any reason (or no reason) including, but not limited to the unavailability of any item, an error in the price or item description. This shall be regardless of whether the order has been confirmed and / or payment been received. In the event Banting Healthcare cancels Your order, Banting Healthcare will provide refund of any payment received.
- Before placing an order, You will check and verify the item description carefully. By placing an order for an item, You are bound by the conditions of sale included in the item’s description.
- The prices and availability of the items are subject to change without prior notice to You, at the sole discretion of Banting.
- We may revise and cease to make available any item at anytime. In the event, Banting Healthcare is unable to deliver the item, You will be notified on the Application and Your request for delivery will be automatically cancelled due to unavailability of the item. In such an event, we shall not be liable to pay any damages to You owing to cancellation of the order. We will refund the amount received towards the failed order.
- Banting Healthcare shall not be liable for any damages arising from delays, non-delivery, or incorrect deliveries of products; defective or malfunctioning products; any negative health effects resulting from the use of products.
The specific conditions for shipping, returns, and refunds for products are outlined in our separate Shipping and Returns Policy. Users are encouraged to review this policy before placing an order (Return/ Refund Policy).
9. PAYMENT, FEES AND TAXES
- You agree to pay all fees including consulting fees, diagnostic test fees, sample collection fees, professional fees, any other fees applicable to your use of the services offered on the Application and reasonable out of pocket expenses.
- While Banting Healthcare will strive to give You a fair estimate of fees in advance, the actual fee may be dependent on the type of services that You purchase and may vary based on the nature, number and duration of the services you wish to avail.
- You are solely responsible for your taxes. Banting Healthcare is in no way responsible for any taxes except its own.
- All payments may be made through payment facility available on the Application. Please note that the payment facility is enabled by third party payment service providers. In case of any payment failure, or issues in transactions carried out using services of third party payment service provider, Banting Healthcare shall not be responsible or liable.
- The payment will be considered complete only on receipt of the amount into Banting’s designated bank account or merchant account held with third party payment service providers.
- An invoice against payment received by Banting Healthcare will be generated periodically and will be shared with You on the Application and/or on Your registered email id.
- You may be requested to make the payment for services in advance or on a deferred basis, at the sole discretion of Banting.
- In event of non-receipt of payment when due, Banting Healthcare reserves the right to stop provision of services on immediate basis, suspend or permanently delete your account and your access to the Application, and suspend or terminate the Agreement without liability. You will be solely responsible for the consequences of non-payment of dues and have no legal recourse in any form against Banting.
- In order to process the payments, Banting might require details of Your bank account, credit card number etc. Please check Our Privacy Policy on how Banting uses the personal information provided by You.
- Banting Healthcare shall not offer any refund for any services or products purchased through the Application, unless Banting is unable to deliver those service and products.

10. INDEMNIFICATION
You hereby agree to indemnify, defend, and hold harmless Banting Healthcare, its directors, shareholders, employees, contractors, agents, representatives and other Users harmless from and against any and all losses, damages, liabilities and costs arising from (i) Your use of the Application; (ii) Your breach of Terms, or violation of any law, rules or regulations; (iii) any negligent or intentional wrongdoing on Your part; or any misrepresentation or fraudulent conduct attributable to you; (v) Your acts or omissions which result in an any claim and (vi) any legal or third party intellectual property right claim that may arise from any content shared or transferred by You;
11. OWNERSHIP AND PROPRIETARY RIGHTS
- We are the owner and licensee of all intellectual property rights in Our Application and the material published on the Application. The intellectual property includes all trademarks, trade names, domain names, logos, service marks, patented inventions, copyright and all content (whether or not registered under copyright) displayed on Our Application (collectively the “IP”).
- You are hereby granted a limited royalty-free non-sublicensable license in the IP to use the Application and its content for your personal use only, in the manner as envisaged under these Terms. You may access and use material displayed on the Application for your own non-commercial, personal use, provided You do not remove or obscure Our copyright and other legal notices. You may not distribute, modify, transmit, reuse, re-post, copy, publish, license, or use the Application or content of the Application, including the text, images, audio, and video, for business or commercial purposes or any purpose other than Your personal, informational use.
- Nothing contained in these Terms grants, expressly or implicitly, any additional licence or right to use any IP, without the written permission of Banting Healthcare or such third-party that may own the IP.
- All materials published on the Application, including, but not limited to software(s), advertisement(s), written content, views, reviews, photographs, graphics, images, illustrations, marks, logos, sound or video clips, and flash animation, are protected by Our copyrights or trademarks. You are not permitted to copy, modify, publish, transmit, reproduce, create derivative works of, distribute, publicly perform, display, or in any way exploit any of the materials or content on the Application in whole or in part.
- All names, logos, marks, labels, trademarks, copyrights, or intellectual and proprietary rights on the Application belonging to any person, entity, or third-party are recognized as proprietary to the respective owners, and any claims, controversy, or issues against these names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights must be directly addressed to the respective parties under notice to us. You irrevocably confirm and undertake that We shall not be liable for any claims, expenses, and liabilities for the display or use of the names, logos, marks, labels, trademarks, copyrights, or intellectual and proprietary rights on the Application under license or rights or affiliation with the said person, entity or third-party.
- Any violation of IP rights of Banting Healthcare may result in severe civil and criminal penalties.
- Any other rights, not expressly granted herein, are reserved.
12. LIMITATION OF LIABILITY
- Your use of Our Application is at Your own risk. Neither We nor any other party involved in creating, hosting, or maintaining the Application and its features, services and products shall be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of Your access to (or inability to access), or use of (or inability to use), the Application or its contents.
- Without limiting the foregoing, the Application is provided to You “AS IS,” WITHOUT CONDITIONS, WARRANTIES OR REPRESENTATIONS OR OTHER TERMS OF ANY KIND, EITHER EXPRESSED OR IMPLIED. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE USEFULNESS, ACCESSIBLITY OR COMPLETENESS OF THE APPLICATION.
- We will not be liable for any damage to Your mobile phone or other property on account of Your access to or use of the Application or Your downloading of any materials, data, text, images, video, or audio from the Application. We do not warrant that Our Application or the server are free from viruses or other harmful components. You are responsible for configuring Your equipment including mobile phone and computer system, information technology, computer programs, and platform to access Our Application. You should use Your virus protection software.
- Under no circumstances will Banting Healthcare have any liability for inaction, incompetence, or other failures by a third-party provider, either in the form of information accessed on the Application, or in the form or services of out-of-network healthcare service providers that You choose to visit.
- Banting Healthcare will not bear any liability in the event that any service provider engaged by Banting, either directly or incidentally, engages in any illegal or criminal activity. You are free to pursue action of Your own accord against the particular service provider.
- Banting Healthcare shall not be compelled to produce any records, books, or documents in connection to the Application, its features, services and products except under the authority of the appropriate court, tribunal or governmental authority.
- Any other rights, not expressly granted herein, are reserved.
13. REPRESENTATIONS AND WARRANTIES
- We do not warrant that the Application will be free from errors or omissions.
- We make no representations regarding the use of or the result of the use/depiction of the contents on the Application in terms of their correctness, accuracy, reliability, or otherwise. Banting Healthcare shall not be liable for any loss suffered in any manner by the User as a result of depending directly or indirectly on the Application.
- You acknowledge that this Application is provided only on the basis set out in the Terms. Your uninterrupted access or use of this Application on this basis may be prevented by certain factors outside Our reasonable control including, without limitation, the unavailability, inoperability, or interruption of the internet or other telecommunications services or as a result of any maintenance or other service work carried out on this Application.
- For any general information posted on the Application, Users must not infer or assume that such information necessarily applies to them.
14. REPRESENTATIONS AND WARRANTIES
- The content and features on Our Application is made available to You for general information only. SUCH INFORMATION DOES NOT CONSTITUTE MEDICAL ADVICE. If You have questions about a particular medical condition, treatment, or pharmaceutical product with respect to Your situation, please consult Our personal doctor or other suitably qualified healthcare professional.
- Although We make reasonable efforts to update the content and features on Our Application and ensure their accuracy and completeness, We make no representations, warranties, or guarantees, whether express or implied, that the content and features on Our Application are accurate, complete, or up to date.
15. TERMINATION
- We reserve the right to restrict, suspend, or terminate your access to all or any part of the Application at any time without prior notice or liability if you breach any provisions of these Terms.
- You agree to provide true, accurate, and authentic information in all instances where such information is requested from You by Banting Healthcare. Further, Banting Healthcare reserves its right to confirm, verify, and validate the information and other details provided by You at any point in time. If upon confirmation, Your details are found not to be true, partially or wholly, then Banting Healthcare in its sole discretion has the right to take legal action/cancel Your registration and to prohibit You from using any service of Banting Healthcare without any prior intimation.
- You agree that We will not be liable to You or any third-party for any restriction, suspension or termination.
- Any suspected fraudulent, abusive, or illegal activity may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies We may have at law or in equity.
16. WAIVER
- Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Our authorised representative.
17. FORCE MAJEURE
- Banting Healthcare shall not be liable to You for any delay or non-performance of its obligations arising from any cause beyond its reasonable control including but not limited to any act of God, governmental act, the act of any regulatory authority, supervening illegality, war, malicious damage, fire, flood, epidemics, pandemic(s), including but not limited to coronavirus (COVID-19) or any other health risk outbreaks, explosion, power blackout, breakdown of any equipment, loss of utility, civil commotion, industrial dispute, acts or omissions of telecommunications or data communications operators or carriers or any other third-parties or, in relation to the services any technical or other problems affecting any operation of the services (a “Force Majeure Event”).
18. GOVERNING LAWS
- These Terms and all transactions entered into on or through the Application and the relationship between You and Banting Healthcare shall be governed in accordance with the laws of India without reference to conflict of laws principles.
- You agree that all claims, differences, and disputes arising under or in connection with or in relation hereto, the Application, the Terms or any transactions entered into on or through the Application or the relationship between You and Banting Healthcare shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra and You hereby accede to and accept the jurisdiction of such courts.
19. ADVERSE EVENTS
- If You experience an unexpected or negative reaction that You think might be related to Our products, it is important that You contact Us so that We can investigate the incident in more detail.

20. USER OBLIGATIONS
- You are prohibited from violating or attempting to violate the security of the Application, including, without limiting the foregoing, You agree that You will not use the Application to undertake any of the following actions or to display, upload, modify, publish, distribute, disseminate, transmit, update or share any information that:
- is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
- infringes any patent, trademark, copyright, or other proprietary rights;
- contains viruses, corrupted files, or any other similar software or programs that are designed to interrupt, destroy or that may limit the functionality of any computer source or that may damage or adversely affect the operation of another person’s computer, its Application, any software or hardware, or telecommunications equipment;
- advertises or offers to sell any goods or services for any commercial purpose;
- is in the nature of promotional services, products, surveys, contests, pyramid schemes, spam, unsolicited advertising or promotional materials, or chains.
- Banting Healthcare is entitled to investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations. You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of this Application or any activity being conducted on this Application. You agree, further, not to use or attempt to use any engine, software, tool, agent, or other device or mechanism (including without limitation browsers, spiders, robots, avatars, or intelligent agents) to navigate or search this Application other than the search engine available on this Application.
21. GENERAL
- These Terms are the entire agreement between Us and You with respect to Your use of the Application. If any of these Terms are determined to be illegal, invalid, or otherwise unenforceable under the law, to the extent and within the jurisdiction in which that term is illegal, invalid, or unenforceable, such terms shall be severed and deleted from these Terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.
- Nothing contained in these Terms shall be construed as creating any agency, partnership, affiliation, joint venture, or other form of joint enterprise between us.
22. COMMUNICATIONS BY US
- You hereby expressly agree to receive communications by way of SMS, e-mails, phone calls, WhatsApp, Social Media platform or through any other legal means relating to the products/services offered by Banting Healthcare.
- You can unsubscribe/opt-out from receiving communications from the Company through SMS and email at any time by:

23. REPORT ABUSE/ GRIEVANCE REDRESSAL
- In the event, You come across any abuse or violation of these Terms or if You become aware of any objectionable content on the Application, please report it to Our customer support team.
- If You have any concerns about the Terms or grievances about the Application, the Product(s)/Services, or related privacy matters, please contact us with a thorough description and We will try to resolve the issue for You. Please address them to Our grievance redressal officer at:
